Terms & Conditions

Any price proposal or quotation issued by AlliedAura remains valid for fifteen (15) calendar days from the date of issue, after which rates are subject to revision based on prevailing creator rates.

The Client shall pay either (a) 100% of the agreed fee in advance upon signing, or (b) 50% in advance prior to the shoot and the remaining 50% within 48 hours of the content going live.

If the balance payment is not received within 48 hours of content going live, a late payment interest of 2% per day shall be levied on the outstanding amount, calculated from the 49th hour onward until the date of actual payment.

If the balance payment, along with accrued interest, remains unpaid for seven (7) days from the date of going live, AlliedAura reserves the right to instruct the Creator to archive the content and remove the Brand Collaboration Tag. Content shall be restored only upon full and final clearance of dues.

The Client must select either a Fixed Launch Date or a defined Campaign Window at the time of signing the MOU. Open-ended or indefinite scheduling is not permitted without an agreed TBD provision.

Upon submission of a content draft, the Brand shall provide feedback within 3–5 business days. If no explicit feedback is received within this period, the draft is deemed Auto-Approved and shall be published as per the agreed schedule. The Brand is entitled to a maximum of one (1) minor revision per draft (text overlay or audio correction only); re-shoots or scripting changes are not covered.

Brand-side delays (venue unavailability, non-delivery of product, repeated rescheduling) exceeding 15 continuous days prior to shoot will automatically PAUSE the campaign. Campaigns paused beyond 30 days EXPIRE, with the advance remaining non-refundable, having been utilised toward onboarding, coordination, and slot reservation costs.

• Client cancels pre-shoot: Advance payment is non-refundable.
• Client cancels post-shoot: 100% of the agreed fee remains payable, irrespective of whether content is subsequently published.
• Agency cancels: 100% of the advance is refunded within 3–5 business days.

If a Creator withdraws or defaults post-shoot, AlliedAura shall arrange a replacement Creator of equal or comparable reach within 24–48 hours, at zero additional cost to the Client.

The Brand is granted usage rights to repost or run paid promotions on delivered content only upon full and final clearance of payment. Raw, unedited B-roll footage remains the property of AlliedAura and is not included in the usage rights granted to the Client.

All content shall carry clear and conspicuous disclosure of the paid partnership/collaboration (e.g. #ad, #collab, or platform-native "Paid Partnership" tags) in accordance with ASCI (Advertising Standards Council of India) guidelines. The Brand shall not request removal of mandated disclosures.

Unless otherwise specified in writing, all video deliverables shall be provided in 9:16 vertical format, minimum 1080p resolution, with runtime and language as agreed at the time of briefing.

No exclusivity is granted to the Brand unless expressly agreed in writing and charged for separately, defining the exclusive category, period, and geographic scope in a separate addendum.

Neither party shall be held liable for delays caused by circumstances beyond reasonable control, including natural disasters, government restrictions, strikes, bandhs, civil unrest, or public health emergencies. Timelines shall be extended proportionately upon prompt notification.

AlliedAura guarantees content quality, creator alignment, and publishing reach as agreed. Final store footfall, sales conversions, or transactions depend on the Brand's own product/service quality and cannot be guaranteed by the Agency.

AlliedAura retains a buffer window of 24–48 hours for technical issues or Creator unavailability. Where an Agency-attributable delay exceeds 48 hours, the Client is entitled to either one (1) complimentary add-on (7-Day Reel Pinning) or a 10% discount on the next campaign.

• Outlet Readiness: The outlet/venue must be operational, clean, and staff briefed to cooperate with Creators on shoot day.
• Barter Fulfillment: Promised barter items/services must be provided at the time of shoot without additional charge or delay.
• Single Point of Contact (SPOC): One authorised representative must be designated for all coordination, approvals, and feedback.
• Brand Assets & Briefing: HD logo, mandatory messaging, and guidelines must be shared prior to the shoot.

• Creator Vetting: All onboarded creators are verified for audience authenticity, engagement quality, and niche relevance.
• Creative Briefing: Script briefs and content angles are developed balancing brand messaging with creator style.
• Operational Coordination: End-to-end shoot scheduling, venue briefing, and timeline tracking is handled by AlliedAura.
• Brand Safety: Content is reviewed to ensure no offensive language, competitor branding, or reputational risk.
• Publishing Adherence: Content is published as per the agreed schedule, subject to the delay buffer above.
• Performance Reporting: A complete analytics report (views, impressions, reach, engagement) is shared within 3–5 business days of content going live.
• Confidentiality: Upcoming product launches, offers, and business strategy shared by the Brand are kept strictly confidential.

Signing an MOU, confirming a campaign via WhatsApp/Email, or accepting a barter item automatically binds the Creator to these Terms.

The first draft must be submitted within 48 hours of the shoot. On a minor edit request, an updated file must be delivered within 24 hours.

Where a shoot or publish date is rescheduled due to reasons attributable to the Brand, the Creator shall not be penalized under Clause B.3. If the resulting delay blocks the Creator's confirmed slot for more than 15 continuous days, the Creator is entitled to either (a) mutually agreed minimum compensation for the blocked slot, or (b) a penalty-free exit if the revised schedule conflicts with prior commitments.

Consuming a barter item/service without delivering the agreed content forfeits the payout. The Creator must clear a Reimbursement Invoice (equal to the item's bill value) within 7 calendar days. A late fee of 2% per day applies thereafter, capped at a maximum of 30% of the item's bill value.

The Creator shall not directly engage with any Brand introduced by AlliedAura for 6 months from the date of last collaboration. Breach shall attract a penalty equal to 3 times AlliedAura's total commission/fee earned from that Brand relationship, along with roster blacklisting.

The Creator shall not publish promotional content for a direct competitor business for 7 days before and 7 days after the campaign content publishes.

Within 48 hours of content going live, the Creator must share a screenshot of reach and impression insights with AlliedAura.

The Creator retains underlying copyright ownership of content produced. AlliedAura and the assigned Brand receive a non-exclusive license to repost the content on official handles and run it in digital advertisements for 1 year from the date of publishing. No ownership transfer occurs. The Creator warrants that content does not infringe any third-party copyright, trademark, or other rights, and indemnifies AlliedAura/Brand against related claims.

Live content must remain active on the Creator's profile grid for a minimum of 90 calendar days. Early deletion requires a 100% payout refund, except where deletion results from platform-side action beyond the Creator's reasonable control (e.g. account suspension, platform-initiated takedown).

If a Brand defaults on payment and AlliedAura issues an instruction, the Creator shall archive the relevant post and remove the Brand Collaboration Tag within 12 hours of receiving the instruction.

• Punctuality and courteous conduct with venue staff.
• Adherence to brand briefs and messaging requirements during shoot.
• Maintaining the 48-hour draft and 24-hour edit turnaround.
• Sending collab tag requests and sharing insight proof within 48 hours of going live.
• Responding to Archive/Untag instructions within 12 hours.
• Resolving grievances privately with AlliedAura rather than through public posts.

• Clear Briefing: Exact requirements, references, and guidelines provided before the shoot.
• Barter Coordination: Smooth, hassle-free delivery of promised products/services at the venue.
• Post-Shoot Payout Guarantee: If the Creator has completed the shoot per brief, AlliedAura guarantees 100% payout even if the Brand does not publish the content.
• On-Time Payment: Full payout cleared within 3–5 business days of content going live and insight proof submission.
• Brand Safety & Coordination: Collab tag approvals and client-side communication handled by AlliedAura.

Any dispute arising out of or in connection with an AlliedAura engagement shall first be addressed through mutual discussion between the designated SPOCs. If unresolved, the matter shall be subject to the exclusive jurisdiction of the courts at Raipur, Chhattisgarh, India.

AlliedAura reserves the right to update these Terms from time to time. The version live on this page at the time of an engagement governs that engagement. Material changes will be communicated to active Brands and Creators.

If any clause of these Terms is held invalid or unenforceable, the remaining clauses shall continue in full force and effect.

These Terms, together with the signed MOU for a specific engagement, constitute the entire agreement between the parties and supersede any prior discussions or understandings on the subject matter.
